1. Information About the Controller

The ePlug.ro website is owned and operated by PLUG IT SOLUTIONS S.R.L., with its registered office in Brașov, 5 Marte St., bl. 11, sc. B, ap. 12, Romania, registered with the Trade Register Office under no. J8/1482/2023, having Fiscal Code (CIF) 43278648, tel. +4 0724 024 095, e-mail address: office@eplug.ro, hereinafter referred to as "ePlug" or "the Seller".

2. Scope of Application

These Terms and Conditions regulate the use of the website www.ePlug.ro, the placing of orders, the requesting of quotes, the purchase of products, as well as the contracting of installation services offered by ePlug.

These Terms and Conditions apply to both natural and legal persons, unless expressly stated otherwise.

In the case of natural persons acting as consumers, the mandatory legal provisions regarding consumer protection shall also apply accordingly.

3. Definitions

For the purposes of this document, the terms below have the following meaning:

  • Site – the online store available at ePlug.ro;
  • Client – any natural or legal person who accesses the Site, requests a quote, or places an order;
  • Consumer – any natural person acting for purposes outside their commercial, industrial, production, artisanal, or professional activity;
  • Product – any good commercialized through the Site;
  • Services – services offered by ePlug, including, without limitation, technical consulting, technical evaluation, installation, commissioning, and related services;
  • Order – the electronic document through which the Client communicates the intention to purchase products and/or services from the Site;
  • Quote Request – a request submitted by the Client for products and/or services that cannot be purchased directly online;
  • Contract – the contract concluded between ePlug and the Client, in accordance with these provisions;
  • Custom-made / Personalized Products – products manufactured, configured, adapted, or sourced based on the specifications, requirements, or specific project of the Client.

4. Acceptance of the Terms and Conditions

By accessing the Site, placing an order, submitting a quote request, or contracting the services offered by ePlug, the Client confirms that they have read, understood, and accept these Terms and Conditions.

ePlug reserves the right to modify the content of this document at any time, the applicable version being the one displayed on the Site at the date of placing the order or submitting the quote request, as applicable.

5. Products and Services Offered

Through the Site, ePlug may commercialize, without being limited to:

  1. AC charging stations;
  2. DC charging stations;
  3. cables, adapters, and accessories;
  4. technical consulting services;
  5. installation and commissioning services;
  6. other related products and services displayed on the Site.

Certain products may be available for direct online purchase, while other products may be available exclusively based on a personalized offer, particularly high-value products, customized products, products involving special sourcing timelines, or products for which a prior technical analysis is required.

6. Product Characteristics and Availability

ePlug exercises all reasonable diligence to ensure that the information regarding products and services displayed on the Site is correct, complete, and up to date. However, there may be minor differences in presentation, color, accessories, packaging, commercial name, or other elements that do not essentially affect the intended use or functionality of the product.

Product availability depends on own stock, supplier availability, and the particularities of each product.

The display of a product on the Site does not automatically guarantee its availability in stock or its immediate availability for delivery.

7. Prices

All prices displayed on the Site are expressed in Romanian Lei (RON). Unless mentioned otherwise, the product prices displayed on the Site include VAT.

Shipping costs are not included in the product price, unless expressly stated otherwise on the Site or in the offer. Shipping is invoiced separately, depending on the product, weight, volume, destination, and chosen delivery method.

For certain products and/or services, including certain DC stations, customized products, or complex projects, the final price is established solely through an individual offer.

ePlug reserves the right to modify the prices displayed on the Site. The modification does not affect orders already confirmed by ePlug.

If, due to technical or material reasons, a manifestly derisory price or a price obviously non-compliant with the real value of the product was erroneously displayed on the Site, ePlug has the right to refuse the execution of that order, while informing

the Client, before the conclusion of the Contract.

8. Placing Orders

The Client can purchase products available for direct order through the Site, following the technical steps indicated in the online store's interface.

The submission of an order by the Client does not automatically equate to its acceptance by ePlug.

The Contract is considered concluded only when ePlug expressly confirms the order via e-mail or another accepted means of communication, and, as applicable, after collection of the requested advance payment.

ePlug reserves the right to contact the Client to verify order data, product availability, delivery conditions, or any other aspects relevant to order execution.

9. Quote Requests

For products and/or services that cannot be purchased directly online, the Client can submit a quote request through the Site or at the e-mail address office@eplug.ro.

The submission of a quote request does not constitute a firm order and does not automatically lead to the conclusion of a contract.

The offer sent by ePlug can be informative or firm, as will be expressly mentioned in its content, and may include the price, estimated delivery timeframe, payment terms, shipping costs, installation conditions, and any other relevant elements.

The Contract is considered concluded only after the express acceptance of the offer by the Client and its confirmation by

ePlug, as well as after fulfillment of any prerequisites specified in the offer, including the advance payment.

10. Payment Methods

Payment for products and/or services can be made via:

  1. online card payment, through the payment processor integrated into the Site;
  2. bank transfer / payment order;
  3. any other method expressly indicated on the Site or in the offer.

Cash on delivery (C.O.D.) is not accepted.

For certain products and/or services, ePlug may request a mandatory advance payment, as follows:

  • a minimum of 70% of the order value for certain DC stations, customized products, or similar projects;
  • a minimum of 50% of the order value for certain AC stations, depending on the product and/or offer conditions.

The remaining balance is paid under the conditions indicated in the order, offer, proforma invoice, or contract.

If the Client does not pay the advance or the balance within the deadline communicated by ePlug, the Seller may suspend the execution of the order or cancel the order/offer, without further formalities.

11. Delivery Timeframes

The delivery timeframe differs depending on product availability, stock existence, the standard or custom character of the product, sourcing time, and applicable logistical particularities.

For products in stock, delivery will be carried out within a reasonable timeframe communicated to the Client at the time of order confirmation.

For products that are not in stock, for customized products, or for certain specially ordered AC/DC stations, the estimated delivery timeframe can be up to 60–90 days, depending on the model, configuration, manufacturer, and project requirements.

The timeframes indicated by ePlug are estimated, unless the parties expressly agree upon a firm deadline.

12. Delivery Methods

Delivery of the products can be carried out through:

  1. courier services;
  2. specialized carrier;
  3. other appropriate means, depending on the nature, size, weight, or particularities of the product.

The shipping cost is communicated to the Client before finalization of the order or is included in the sent offer, as applicable.

The risk regarding the products is transferred according to the applicable legal rules, and the Client is obliged to check the integrity of the package/product upon receipt and to report any apparent non-conformities under the conditions communicated by ePlug.

13. Installation Services

ePlug may directly provide installation services for the commercialized products, separately or together with the sale of the products.

Installation services may include, as applicable:

  • technical evaluation;
  • on-site visit;
  • dimensioning / preliminary analysis;
  • technical and commercial proposal;
  • installation;
  • commissioning;
  • testing;
  • handover / receipt documents.

Depending on the specifics of the project, installation may be conditioned upon:

  • a prior technical visit;
  • the existence of minimum technical conditions at the location;
  • the execution of preparatory works by the Client;
  • obtaining permits or approvals;
  • signing an offer, an estimate, a contract, or a receipt protocol.

If following the technical visit it is found that additional works, additional materials, or technical conditions not originally taken into account are required, ePlug will communicate the updated costs and timelines to the Client.

14. Client Obligations Regarding Installation

The Client is obliged:

  1. to provide complete and correct information about the location and project;
  2. to allow access to the location at the agreed date and time;
  3. to ensure appropriate conditions for carrying out the works;
  4. to obtain, as applicable, the agreements or approvals related to the building, property, homeowners' association, or other third parties, to the extent that these fall under their responsibility;
  5. to receive and accept the executed works according to the agreed procedure.

ePlug is not liable for delays, impossibility of execution, or additional costs caused by incomplete information, lack of access to the location, inappropriate condition of the existing electrical installation, or failure to fulfill the obligations incumbent upon the Client.

15. Consumer's Right of Withdrawal

In the case of distance contracts concluded with consumers, the right of withdrawal is exercised according to GEO (OUG) no. 34/2014. In principle, the consumer benefits from a 14-day period to withdraw from the contract, calculated according to the applicable legal provisions.

The right of withdrawal does not apply in all cases. It can be excluded, among others, for products made to specifications presented by the consumer or clearly personalized, as well as in other situations provided by law.

Standard products in stock, which are not personalized and are sold to distance consumers, cannot be generically excluded from the right of withdrawal solely through contractual wording.

The concrete conditions for exercising the right of withdrawal will be detailed in the Return / Withdrawal Policy, a complementary part of these Terms and Conditions.

16. Guarantees and Conformity

Products sold to consumers benefit from the legal guarantee of conformity and other rights provided by applicable legislation, including GEO (OUG) no. 140/2021.

Any commercial guarantees offered by the manufacturer or by ePlug apply separately, under the conditions mentioned in the warranty certificate, product data sheet, or commercial documents.

Conditions regarding the reporting of non-conformities, service procedure, required documents, and any legal limitations will be detailed in a separate Warranty / Service Policy.

17. Liability

ePlug is not liable for:

  1. errors generated by the inappropriate use of the Site;
  2. the impossibility of accessing the Site due to reasons independent of its will;
  3. delays or non-executions caused by force majeure, fortuitous event, acts of authorities, logistical blockages, supplier unavailability, or other reasonable causes outside its control;
  4. inappropriate use of the products, unauthorized installation, modification of products, or failure to comply with the instructions for use.

ePlug's liability cannot be excluded or limited in cases where the law prohibits it.

18. Intellectual Property

The entire content of the Site, including without limitation texts, images, logos, graphic elements, databases, descriptions, and structures, belongs to ePlug and/or its partners and is protected according to applicable legislation.

It is forbidden to copy, reproduce, distribute, publish, transmit, or use the content of the Site without the prior written consent of ePlug.

19. Data Protection

The processing of personal data carried out in the context of Site use, orders, offers, and services is described in the Privacy Policy available on the Site.

20. Applicable Law and Dispute Resolution

These Terms and Conditions are governed by Romanian law.

Any disputes will be resolved, as far as possible, amicably. If an amicable solution is not possible, disputes will be submitted to the competent courts in Romania, in compliance with mandatory legal rules applicable to consumers.

21. Final Provisions

These Terms and Conditions are supplemented by the policies published on the Site, including, as applicable:

  • Privacy Policy;
  • Cookie Policy;
  • Delivery Policy;
  • Return / Withdrawal Policy;
  • Warranty / Service Policy.
